Our lawyer Xie Yang led a team to provide legal service on Chinese labor law for an international merger and acquisition project of a European aircraft manufacturing and R&D company.

Our lawyers served as the Chinese legal advisers for the Project, and their scope of work included preparing due diligence questionnaires on Chinese labor law, reviewing documents and materials provided by the target company, and preparing the English red flag due diligence report. In addition, the Firm also provided the assessment on the carve-out from the perspective of the Chinese labor law for the divestiture and personnel placement scheme in China of the clients’ proposed transactions.

The target company of the Merger Project involved several jurisdictions. The project leader was a well-known international leading accounting firm. Our lawyers, from China, participated in the legal due diligence together with lawyers from Europe, North America, Asia Pacific and other regions.

Prior to joining Tahota Shenzhen Office, Lawyer Xie Yang worked for consecutive 10 years, serving China Tax Advisory Department, Ernst & Young, its law firm, and a law firm of the Red Circle as a manager and a lawyer. Lawyer Xie Yang has long been engaged in overseas investment, mergers and acquisitions, foreign investment and other cross-border legal practices, mainly providing service to clients including multinational corporations and their Chinese subsidiaries, Sino-foreign joint ventures, representative offices in China of foreign companies, well-known private enterprises, central enterprises, and local state-owned enterprises. Lawyer Xie Yang graduated from Southwest University of Political Science and Law with the Bachelor’s Degree in Law, and the University of International Business and Economics with the Master’s Degree in Law. He also studied as an exchange student at Kyushu University Faulty of Law in Japan.
